Welcome to Emakin. These Website Terms & Conditions ("Terms") govern your access to and use of the Emakin website at www.emakin.com and www.emakin.eu (collectively, the "Website") and any trial or evaluation access to our platform.
These Terms are issued by Emakin Limited, a company registered in the Republic of Ireland with registered office at The CHQ Building, Dogpatch Labs, Custom House Quay, Dublin 1, D01 Y6H7, Republic of Ireland. Our Tax reference number is IE3841700BH.
Important: Commercial Use Requires Separate Agreements
These Terms do NOT cover commercial use of Emakin's platform.
All commercial customers must enter into separate written agreements with Emakin, which may include:
End User Licence Agreement (EULA) for on-premise installations
Cloud Service Agreement for hosted deployments
Support & Maintenance Agreement
Implementation Services Agreement
Data Processing Agreement (DPA)

Acceptance of Terms
By accessing or using the Website, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use the Website.
We may revise these Terms at any time. Please check this page regularly to ensure you understand the current version. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
"Emakin", "we", "us", "our" means Emakin Limited and its affiliates.

"Trial Account" means a temporary evaluation account that may be provided to assess the Services.

We may offer temporary trial accounts to evaluate the Services. Trial accounts are subject to the following conditions:
Purpose: Trial accounts are provided solely for evaluation purposes. They may not be used for production purposes, processing live business data, or any commercial operations.
Duration: Trial periods are typically 14-30 days unless otherwise specified. We reserve the right to terminate trial access at any time.
Limitations: Trial accounts may have restricted features, user limits, storage capacity, or other technical limitations compared to commercial deployments.
Data: Any data entered into a trial account is stored temporarily. We make no guarantees about data retention beyond the trial period. You are responsible for exporting any data you wish to retain before the trial expires.
No Service Level Agreement: Trial accounts are provided "as is" without any service level commitments, warranties, or support obligations.
4.2 Conversion to Commercial Use
To continue using the Services after your trial expires, you must enter into a Commercial Agreement with Emakin. Contact sales@emakin.com to discuss licensing options.
5.1 Emakin's Intellectual Property
All content on the Website, including but not limited to text, graphics, logos, images, software, and documentation, is owned by or licensed to Emakin and is protected by copyright, trademark, and other intellectual property laws.The Emakin name, logo, and related marks are trademarks of Emakin Limited. You may not use these trademarks without our prior written permission.
5.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable licence to access and use the Website for lawful purposes in accordance with these Terms. This licence does not include any right to:
Modify, copy, or create derivative works from Website content
Reverse engineer or attempt to extract source code from the Website
Remove or alter any copyright, trademark, or other proprietary notices.
5.3 User-Submitted Content

Commercial service level agreements, warranties, and support commitments apply only to customers with active Commercial Agreements.
8.4 No Advice
Nothing on the Website constitutes legal, financial, technical, or professional advice. You should consult qualified professionals for specific guidance relevant to your circumstances.
9.1 General Limitations
To the maximum extent permitted by law, Emakin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
-Loss of profits, revenue, or business opportunities
-Loss of data or information
-Business interruption
-Loss of goodwill or reputation
-Any other intangible losses
This applies regardless of the cause of action (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.
9.2 Maximum Liability
Our total liability to you for all claims arising from or related to the Website or these Terms shall not exceed €100.
9.3 Exceptions
Nothing in these Terms excludes or limits our liability for:
-Death or personal injury caused by our negligence
-Fraud or fraudulent misrepresentation
-Any liability that cannot be excluded or limited under applicable law
9.4 Commercial Agreements
Liability provisions for commercial customers using the Services are set out in separate Commercial Agreements and are not governed by this Section.
Emakin offers enterprise business process management software through various deployment models:
On-Premise Installations: Software licensed for installation on customer infrastructure, governed by our End User Licence Agreement (EULA).
Cloud Deployments: Hosted platform services available at www.emakin.com and www.emakin.eu, governed by our Cloud Service Agreement.
Support & Maintenance: Ongoing technical support and software updates, governed by separate Support & Maintenance Agreements.
Implementation Services: Professional services for platform deployment and customisation, governed by Implementation Services Agreements.
All commercial use requires appropriate written agreements. These Terms do not grant any rights to use the Services for commercial purposes.

11.1 Termination by You
You may stop using the Website at any time. If you have a registered account or trial account, you may request deletion by contacting support@emakin.com.
11.2 Termination by Emakin
We reserve the right to suspend or terminate your access to the Website or any trial account, with or without notice, if:
-You breach these Terms
-We suspect unauthorised or fraudulent activity
-We discontinue the Website or trial programme
-Required by law or regulatory authority
11.3 Effect of Termination
Upon termination:
-Your right to access the Website and any trial account ceases immediately
-We may delete any data associated with your trial account
-Sections of these Terms that by their nature should survive (including intellectual property rights, disclaimers, and limitations of liability) remain in effect
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Emakin regarding use of the Website and supersede any prior agreements or understandings.
For commercial customers, Commercial Agreements take precedence over these Terms with respect to use of the Services.
12.2 Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. For significant changes, we may provide additional notice through the Website or by email to registered users.
Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms.
12.3 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
12.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Emakin.
12.5 Assignment
You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms or delegate our obligations without restriction.
12.6 Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Website shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.
12.7 Language
These Terms are provided in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
